Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Co-Friend, Inc., a Delaware corporation (“Co-Friend,” “Company,” “we,” “us,” or “our”), governing your access to and use of the Co-Friend platform, including our mobile application(s), website(s), services, features, content, events, and tools (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. ELIGIBILITY

You must be at least eighteen (18) years old to use the Platform. By using the Platform, you represent and warrant that you are legally permitted to enter into this agreement and comply with all applicable laws.

2. PLATFORM OVERVIEW

Co-Friend is a professional networking and growth platform designed to facilitate:

  • Professional matching and messaging
  • Discovery of independent professional coaches and service providers
  • Event discovery, ticketing, and hosting
  • Content publishing and professional resources
  • Rewards, gamification, and visibility features
  • Enterprise and organizational networking solutions

Co-Friend does not provide professional coaching, therapy, legal, medical, or financial advice and does not employ coaches listed on the Platform.

3. ACCOUNTS & REGISTRATION

You agree to provide accurate and complete information when creating an account. You are responsible for safeguarding your credentials and all activity occurring under your account.

4. SUBSCRIPTIONS & PAYMENTS

Certain features require paid subscriptions, event tickets, digital purchases, or virtual credits.

  • Subscriptions automatically renew unless canceled prior to renewal.
  • Fees are non-refundable unless required by law.
  • Virtual credits and rewards have no cash value and are non-transferable.

5. COACHES & THIRD-PARTY SERVICES

Coaches and service providers listed on the Platform are independent third parties.

Co-Friend:

  • Does not endorse, supervise, or guarantee services
  • Is not a party to any agreement between users and coaches
  • May receive referral or booking fees

6. EVENTS

Events may be hosted by Co-Friend or third parties. Co-Friend is not responsible for the conduct of hosts or attendees. Event policies, including refunds, are determined by the host unless otherwise stated.

7. ENTERPRISE SERVICES

Organizations may purchase access for employees. Co-Friend may provide administrative tools, analytics, and curated programming. Enterprise accounts are subject to minimum seat requirements and separate agreements where applicable.

8. USER CONTENT

You retain ownership of content you submit but grant Co-Friend a worldwide, royalty-free license to use, display, distribute, and promote such content in connection with the Platform.

9. PROHIBITED CONDUCT

You agree not to:

  • Harass, exploit, or impersonate others
  • Use the Platform for unlawful purposes
  • Circumvent security features
  • Misrepresent credentials or expertise
  • Solicit outside of permitted use

10. TERMINATION

Co-Friend may suspend or terminate accounts at its discretion, with or without notice, for violations of these Terms.

11. DISCLAIMERS

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” CO-FRIEND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CO-FRIEND SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Co-Friend from claims arising from your use of the Platform.

14. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by Delaware law. Any dispute shall be resolved exclusively in the state or federal courts of Delaware.

15. MODIFICATIONS

We may modify these Terms at any time. Continued use constitutes acceptance.
